Firm takes out award following complex $686m three-way merger.

Madgwicks' outstanding efforts in a highly complex three way merger and debt restructure worth $686 million were recognised on Friday night with the Melbourne firm defeating larger national firms to take out the esteemed Deal of the Year Award at the Victorian Legal Awards.

The accolade is a tribute to the result Madgwicks achieved for Andy's Earthmovers (Andy's) and Andy's shareholders on the successful completion of the merger of Andy's and Orionstone Holdings with Emeco Holdings Limited.

Led by Restructuring and Litigation Partner John Caridakis and Corporate Partners Peter Hammond and Ed Browne, the highly complex deal was more than six months in the making with five countries and eight firms involved in the merger which now positions the combined company as a world leading solutions provider in the mining and engineering industry.

Madgwicks advised on the restructuring and merger documentation and associated arrangements including share sales, arrangements with financiers (including stand still and facility reorganisation), schemes of arrangement, PPSA and statutory and regulatory compliance, resulting in a commercially rewarding outcome on behalf of the clients.

"It's an honour for Madgwicks to be recognised by the wider legal community for its role in this large-scale, diverse and complex transaction. We were delighted to act for Andy's Earthmovers and its shareholders in this significant deal. The result speaks of the talent and outstanding work ethic of the Madgwicks team" said Lead Partner John Caridakis.

The Victorian Legal Awards is the most prestigious legal awards program in Victoria.
