Butler Snow is pleased to announce that attorney Randall D. McClanahan recently co-authored a chapter in a legal treatise published by Wolters Kluwer. McClanahan co-authored Chapter 1, “Agreement of Limited Partnership,” in the 2023 Supplement to “Venture Capital & Public Offering Negotiation, Third Edition”, along with Michael J. Halloran and Mark D. Hobson. McClanahan’s focus was on the tax aspects of a limited partnership agreement.

McClanahan is a business attorney with experience across corporate law, taxation law, mergers and acquisitions, executive compensation, venture capital and private equity transactions, and the legal aspects of accounting and auditing. He represents clients in numerous transactions involving business mergers and acquisitions, dispositions and reorganizations. He also specializes in federal and state tax issues as well as offering representation regarding the structure of executive compensation plans.

McClanahan obtained his bachelor’s degree from Auburn University. He also holds a master’s degree in Tax Accounting from the University of Alabama and a master’s degree in Business Administration from Duke University. He earned his Juris Doctor from the University of North Carolina.
