PLMJ acted as legal adviser to the company WINTERFELL 2 LIMITED in its acquisition of a majority shareholding in EFACEC Power Solutions, SGPS, S.A., a Portuguese holding company in the energy solutions sector. This complex operation was only concluded last Friday with the signature of a number of contracts between all the parties involved. Isabel dos Santos is the majority shareholder in the company WINTERFELL 2 LIMITED, which is also owned in part by Empresa Nacional de Distribuição de Eletricidade (ENDE).

The deal was coordinated by Jorge Brito Pereira and the team from PLMJ's M&A/private equity practice involved in this operation was led by PLMJ partner, Bárbara Godinho Correia and PLMJ senior associate, Inês Pinto da Costa. They received support in this transaction from PLMJ International Legal Network member firms Gabinete Legal Angola (GLA) and Tomás Timbane Associados in Mozambique.

One year ago, PLMJ decided to set up an independent, specialist team to handle M&A/private equity work. This decision was in line with PLMJ's policy of specialisation and in response to the growing volume of work in the area of M&A and private equity, with numerous complex mergers and privatisations. Over recent years, PLMJ's M&A/private equity team has advised on a range of important deals and, with the completion of this deal last week, it has added yet another important operation to its track record.
