All Bermuda exempted companies now have only a few weeks to ensure that their Register of Directors and Officers (the "D&O Register") is filed at the Registrar of Companies (the "Registrar"), with the 31 January deadline fast approaching.

Historically, the secretary of a Bermuda company has been responsible for maintaining the D&O Register at the company's registered office. However, under amendments made to the Bermuda Companies Act 1981 on 1 April 2016, the secretary is now also required to file the D&O Register (and any subsequent updates within 30 days of any changes) with the Registrar.

The D&O Register, which is a publicly accessible upon payment of an inspection fee of BD$11, should include the following information in respect of each director:

  • for an individual: first name, surname and address; and
  • for a company: the legal name and address of registered office.

All filings (together with a fee of $90) must be made by no later than the 31 January 2017.
