Jones Day partner Lizanne Thomas served as Contributing Editor for the 2020 edition of The Legal 500's Corporate Governance Country Comparative Guide. Published by Legalese and The Legal 500, the guide provides readers with a pragmatic overview of the laws and regulations of corporate governance practice across a variety of jurisdictions.
In addition to her editorial role, Ms. Thomas, along with Jones Day counsel Jennifer C. Lewis, contributed to the "United States: Corporate Governance" chapter in a Q&A format. This country-specific Q&A provides an overview of corporate governance laws and regulations applicable in the United States. There are 17 chapters on governance published in the guide.
Ms. Thomas is the head of the Jones Day's corporate governance team. With roots as an M&A lawyer, she participates in about 100 board meetings per year as counsel to a number of public companies. Ms. Thomas represents special committees in control and conflict transactions, as well as in internal investigations. She is experienced in shareholder activism, public and private mergers and acquisitions, takeover preparedness, and executive compensation. Ms. Thomas lectures on governance to leading business organizations, companies, and universities.
Ms. Lewis advises public companies on all aspects of corporate governance. She has extensive experience in takeover preparedness and defense matters, shareholder engagement, shareholder activism, and counseling public company boards on governance matters and developments. Ms. Lewis has an extensive background as an M&A lawyer, having represented a variety of clients in acquisitions, divestitures, spin-offs, and corporate restructurings. She has more than 20 years' experience in counseling clients on takeover defense matters, including the use and operation of shareholder rights plans.
